Founded by Doug McIntyre and Jon Ogg in 2006, 24/7 Wall St., LLC is a Delaware corporation set up to operate a financial news and opinion publishing Web site with content delivered over the Internet. Our Service (as defined in “section 3”) reaches readers via e-mail and the Internet.

14. Indemnification

You agree to indemnify, defend and hold harmless 24/7 Wall St., LLC, our current and former member owners, directors, employees, contract employees, independent contractors, outside contributors, and subsidiaries from and against any and all liabilities, claims, damages, losses, costs (including reasonable attorneys’ fees), or other expenses associated with or incurred as a result of or from (a) your breach of the TCS, including any violation of the Code of Conduct in “section 8”; (b) your activities in connection with our Service or any services related to the 24/7 Wall St. Media Network; (c) your violation of the rights of any third party, or (d) the actual or alleged infringement of any third party proprietary or intellectual property, copyright, or trade secret right arising out of the duplication, sale, distribution, or use of the Services.

15. Termination

24/7 Wall St., LLC reserves the right to restrict, suspend or terminate your use of any portion of the 24/7 Wall St. Media Network at any time for any reason in our sole discretion, with or without cause, without prior notice to you and without liability or further obligation of any kind whatsoever to you or any other party. 24/7 Wall St., LLC reserves the right to terminate your access to any portion of the Services and, in some cases in our sole discretion, your membership to our Paid Services in the event you violate the TCS. In such case, you will not be entitled to receive a refund of any portion of the Paid Service fee paid by you.

You may terminate your user account and access to the Services by submitting such termination request to us on our Contact Us web page.

16. Claims of Copyright Infringement

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law.
