The Long Now is looking for skilled and experienced professionals to join our Finance Committee as volunteer advisors. This position requires approximately 5 hours a month and works directly with the Long Now Board. The Finance Committee is responsible for assisting The Long Now Foundation Board in ensuring the organization is in good fiscal health. The work of the committee revolves around the following six major responsibilities:
- Ensure that accurate and complete financial records are maintained.
- Monitor income and expenditures against projections.
- Review and recommend financial policies to the board, including ensuring adequate internal controls and maintaining financial records in accordance with standard accounting practices.
- Ensure that accurate, timely, and meaningful financial statements are prepared and presented to the board.
- Present quarterly financial statements to the board.
- Budget and oversee financial planning.
- Propose for board approval a budget that reflects the organization's goals and board policies.
- Ensure that the budget accurately reflects the needs, expenses, and revenue of the organization.
- Safeguard the organization's assets.
- Review proposed new funding for financial implications, recommending approval or disapproval to the board.
- Ensure that the organization has the proper risk management provisions in place, including appropriate insurance coverage for the organization and for the board.

Help the full board understand the organization's financial affairs.
- Ensure that the board as a whole is well-informed about the organization's finances.
- Take measures to educate the board on areas that need further explanation.
- Ensure compliance with federal, state, and other requirements related to the organization's finances.
- Ensure that the organization maintains adequate insurance coverage.
- Ensure that the IRS Form 990 or any other forms required by the government are filed completely, correctly, and on time.

The Long Now is looking for skilled and experienced professionals to join our Audit Committee as volunteer advisors. This position requires approximately 1 hour a month and works directly with the Long Now Board. The Audit Committee is responsible for assisting in a yearly audit of the organization’s processes, which is led by a third party independent auditing service.
Responsibilities:
- Reviews the adequacy of the organization’s internal control structure
- Reviews the activities, organizational structure, and qualifications of the internal audit function (if applicable)
- Reviews the scope and approach of the audit proposed by the independent auditor
- Conducts a post-audit review of the financial statements and audit findings, including any significant suggestions for improvements provided to management by the independent auditor
- Reviews the performance of the independent auditor
- Reviews the independent auditor’s fee arrangements
- Recommends appointment (or reappointment) of the independent auditor
- Monitors compliance with the organization’s code of conduct and conflict-of-interest policy
- Reviews, with the organization’s counsel, any legal matters that could have a significant effect on the organization’s financial statements
- Reviews the findings of any examinations by regulatory agencies
- Reviews the policies and procedures in effect for the review of executive compensation and benefits
- If necessary, institutes special investigations and, if appropriate, hires special counsel or experts to assist
- Performs other oversight functions as requested by the full board
- Maintains lines of communication with management, the independent auditor, and the internal auditors
